Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") form a legal agreement between you (the merchant, "you") and TechnoBrains ("StaffSignal", "we", "us") governing your use of the StaffSignal Shopify application and related services (the "Service").
By clicking "Install", authorising the OAuth flow, or using any part of the Service, you represent that you have authority to bind your organisation to these Terms.
2. Description of Service
StaffSignal is a Shopify application that monitors store events (orders, cancellations, deliveries, returns, etc.) and delivers real-time notifications to designated staff members via Email, WhatsApp, Slack, and Microsoft Teams.
The Service operates on a subscription basis with tiered plans. Features available to you depend on your active subscription plan.
3. Shopify Requirements
StaffSignal is built exclusively for the Shopify platform. To use the Service, you must:
- Have an active Shopify store and account in good standing
- Comply with Shopify's Terms of Service and Partner Program requirements
- Authorise StaffSignal to access the Shopify API scopes requested during installation

4. Subscription and Billing
4.1 Plans. StaffSignal offers multiple subscription tiers (Basic, Standard, Pro). Plan features, pricing, and limits are described on our Pricing page and within the app.
4.2 Trial Period. New subscribers may receive a free trial period as advertised. No credit card is required during the trial. At the end of the trial, your subscription will activate and billing will commence through the Shopify Billing API.
4.3 Billing. All billing is handled exclusively through Shopify's Billing API. Charges appear on your Shopify invoice. We do not process payment cards directly.
4.4 Cancellation. You may cancel your subscription at any time by uninstalling the app from your Shopify Admin. Access continues until the end of the current billing period. No refunds are issued for partial billing periods.
4.5 Plan Changes. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the next billing cycle.
5. Acceptable Use
You agree not to use the Service to:
- Send unsolicited communications (spam) to individuals who have not consented to receive them
- Transmit harmful, offensive, illegal, or misleading content
- Violate any applicable law or regulation, including data protection laws
- Attempt to reverse-engineer, decompile, or circumvent the Service's security
- Use the Service in a way that disrupts or degrades performance for other users
- Share your account credentials with unauthorised third parties
6. Notification Content and Responsibility
StaffSignal delivers notifications based on configurations you set up. You are solely responsible for:
- Ensuring recipients have consented to receive notifications from your store
- Compliance with applicable laws governing electronic communications (CAN-SPAM, GDPR, CASL, etc.)
- The accuracy and legality of any content delivered via the Service
- Keeping third-party API credentials (SendGrid, Twilio, etc.) secure and up to date
7. Data Processing
Your use of StaffSignal involves processing of personal data (order information, staff contact details). By using the Service, you acknowledge our Privacy Policy and, where applicable, agree to act as the data controller responsible for compliance with data protection law in your jurisdiction.
StaffSignal acts as a data processor on your behalf. We process data only as instructed by your configuration and as described in our Privacy Policy.
8. Service Availability and SLA
We target 99.9% monthly uptime for the StaffSignal API and notification queue. However, the Service is provided "as is" and we do not guarantee uninterrupted availability. Downtime caused by Shopify, third-party providers (Twilio, Slack, etc.), force majeure, or scheduled maintenance is excluded from SLA calculations.
We are not liable for missed notifications caused by third-party delivery failures (e.g. Twilio outage, Slack API downtime) or incorrect configuration by you.
9. Intellectual Property
All rights, title, and interest in the Service (including software, design, trademarks, and content) are owned by TechnoBrains. These Terms do not grant you any ownership rights.
You retain ownership of your store data, recipient data, and notification configurations. You grant us a limited licence to process this data solely to provide the Service.
10. Limitation of Liability
To the maximum extent permitted by law, StaffSignal and TechnoBrains shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or business interruption, arising from your use of or inability to use the Service.
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to StaffSignal in the 3 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless StaffSignal, TechnoBrains, and their officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of applicable law.
12. Termination
By you: You may terminate at any time by uninstalling StaffSignal from Shopify Admin.
By us: We may suspend or terminate your access immediately if you violate these Terms, if required by Shopify, or if your account is fraudulent. We will provide notice where reasonably practicable.
Upon termination, your right to use the Service ceases immediately. We will retain and delete your data per our Privacy Policy.
13. Changes to Terms
We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email to your store's registered address. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
